Contract records
Number, title, category, type, status, partner, owner, department, start, end and signature dates, notice period and rule, renewal type and period, amount, currency, billing frequency, tax, payment terms, tags, notes, custom fields, attachments and a full change history. Duplicate, archive, terminate, export.
Lifecycle and renewals
Statuses Draft, Pending, Active, Expiring Soon, Expired, Terminated and Archived. Auto-renewal terms are projected by rule and clearly labelled; a renewal by agreement is only recorded when you confirm it.
Reminders
Suggested for start, end, cancellation deadline, renewal, payment, milestones and document expiry. Default schedule 90/60/30/14/7/1 days and on the day, at the time you choose, in your time zone (daylight saving handled).
Business partners
Suppliers, customers, contractors, landlords, tenants, insurers. Contact persons, VAT and registration numbers, every related contract, recurring costs and revenue, upcoming renewals.
Financial overview
One-time, weekly, monthly, quarterly, yearly and custom schedules. Rate changes and amendments with effective dates, partial periods, tax-inclusive or exclusive amounts, date-effective exchange rates with manual override. Planning reports, not certified accounts.
Documents
PDF, DOCX, XLSX, PNG, JPG and TXT up to 100 MB. AES-256 encrypted on disk, SHA-256 checksums, duplicate detection, versions, folders and full-text search. Macros and scripts are never run.
Calendar
Month, week and agenda views with filters for contract, category, partner, owner, department, status and dates. Export to any calendar app as an .ics file.
Team and permissions
Unlimited members with Owner, Admin, Editor and Viewer roles, optional passwords and an activity log. Roles are enforced by the app itself, not only hidden in the interface.
Backup and export
One-click backups, restore, recovery key for encrypted attachments, full JSON export, CSV/Excel/PDF reports. Exports and downloads keep working after a license expires.
Insights dashboard
Contracts by status and category, recurring and one-off value, upcoming workload per month, 12-month cash flow, spend by partner and department. Filter by department, category, owner or costs and revenue, and show totals in any currency.
Contract health score
Every live contract gets an operational score with the reasons spelled out: an approaching cancellation deadline, a missing document, no owner, overdue obligations, high annual cost. See at a glance where money can be saved.
Obligations
Track what must happen while a contract runs: reports, proof of insurance, deliverables, price reviews, service levels. One-off or repeating, by you or by the partner, with a responsible person and evidence. Shown in the calendar and the health score.
Smart import
Drop in a contract (PDF, scanned PDF, Word file or photo). ContractNest reads it on your own device, with text recognition for scans in English, German, French and Romanian, and suggests the parties, dates, notice period, renewal, amount and billing frequency. Every suggestion shows the passage it comes from and nothing is saved until you confirm. Optionally, "Ask AI" uses your own AI provider key.
Approval workflows
Define who must approve which contracts, for example costs above €10,000 a year: first the department head, then finance. Each step is approved by a role or a named person, nobody approves their own request, and every decision is recorded with name, time and comment. Approvers get an email in the Cloud and Server Edition.
Contract templates
Fill in a template and get a ready-to-sign Word or PDF document, plus the contract record with dates, amount, notice period and reminders from the same answers. Six English starter templates (NDA, service, maintenance, supply, commercial lease, consultancy) and nine Romanian ones (prestări servicii, închiriere, confidențialitate, act adițional, vânzare-cumpărare, împuternicire, hotărâre AGA, decizie administrator, act adițional CIM), or write your own with placeholders and optional clauses.
API, webhooks and MCP
In ContractNest Cloud and the Server Edition: a documented REST API with company API keys (read-only or read-write), signed webhooks for contract, reminder, approval and document events, and a read-only MCP server so AI assistants can answer questions about your contracts.
Exchange rates from the ECB and BNR
One click fetches the daily reference rates of the European Central Bank or the National Bank of Romania for every currency you use, converted to your base currency. Manual rates are still possible.
Contract inbox
Forward contracts by email, or let ContractNest read a dedicated mailbox. Emails land in a review queue: create a contract from an attachment with smart import, file it under an existing contract, or dismiss it. ContractNest suggests the matching contract from the contract number or the sender.
Expiring documents
Permits and authorizations (ISU, operating, environmental), vehicle papers (ITP, RCA, CASCO, vignette), insurance policies, staff medical checks and training, certificates and inspections. Reminders 30, 15, 7 and 1 days before, the scan one click away.
Document register (registratura)
Incoming, outgoing and internal registers with official numbers that restart every year and are never reused, assignment to a person with a resolution deadline (30 days for petitions), replies linked to the original, confidential entries, a printable registration stamp with barcode and the printed register as PDF or Excel.
Electronic signature by link
In Cloud and Server Edition: send a PDF to one or more signers, in order or all at once. They sign on any phone or computer without an account, after confirming their email with a one-time code, by drawing or typing their name. The signed PDF gets a signature certificate in English, Romanian, German or French (email verification, consent, time, IP, SHA-256 fingerprints) with a tamper-evident audit trail embedded in the file, and anyone can check a signed copy on a public verification page without uploading it. This is a simple electronic signature under eIDAS with audit evidence, not an advanced or qualified signature.
Share links for partners
Give a partner time-limited access to the documents you choose, with optional download and comments, a QR code and a log of every visit. Amounts and internal notes are never shown.
Invoices and value caps
Record the invoices of a contract and see what is invoiced, paid, open and overdue, how much of a framework agreement or budget is used, and ageing of unpaid invoices. Overdue invoices go straight into the late payment calculator.
Company data from ANAF
Type a Romanian CUI and ContractNest fills in the company name, address, trade register number and VAT number from the public ANAF register, and warns you about inactive taxpayers.
Late payment calculator
Penalties per day, interest per year or the Romanian legal interest (reference rate plus 8 points), with grace days and a cap at the unpaid amount. Copy the calculation into a reminder letter.
Escalation and to-do dashboard
The dashboard shows what is waiting for you: approvals, emails to review, open reminders, obligations and expiring documents, plus who is late. In Cloud and Server Edition, reminders nobody handled are emailed to a manager after a few days.
Four languages
English, French, German and Romanian, with dates, numbers and currencies in the local format. Reminder and invitation emails follow each person's language.
Cloud, Server Edition or desktop
Use the desktop app on its own, ContractNest Cloud in the browser, or the Server Edition on your own server and your own PostgreSQL database. The desktop app can connect to a server as a client.
Desktop comfort
Runs in the tray so reminders keep coming, starts with your computer if you want, keyboard shortcuts, light and dark mode, signed automatic updates.
Not included in this version
Qualified electronic signature and single sign-on are planned but not part of the current version. The desktop app on its own keeps a local workspace per computer; for a shared workspace with server-sent reminder emails, use ContractNest Cloud or the Server Edition.
