Notice periods, cancellation and automatic renewal
Many service, subscription, lease and maintenance contracts run for a fixed term and renew automatically for another term unless one party cancels with a given notice period, for example "at least 30 days before expiry". Miss the date and you are bound for another year.
For contracts performed over time, the Romanian Civil Code allows unilateral termination when the contract provides for it, subject to the agreed notice (art. 1276). What usually counts is the date the notice reaches the other party, not the date you send it, so plan to send it a few days early.
How the tool calculates
- It subtracts the notice period from the end date. Months keep the same day of the month, or the last day when the month is shorter (31 December minus 3 months is 30 September).
- With the "end of a month" rule, the deadline moves to the last day of the previous month, unless it already is a month end.
- If the deadline has passed and the contract renews automatically, you get the next last day to cancel.
- If the day is a weekend or a Romanian public holiday you get a warning: notice periods do not move automatically, so it is safer to send earlier.
The exact wording of the clause matters ("at least 30 days", "by the end of the month"). The tool gives an estimate for planning; this page gives general information and is not legal advice.
Worked example
A maintenance contract ends on 31 December 2026, has a 3-month notice period and renews for 12 months at a time. The last day to cancel is 30 September 2026. Miss it and the contract runs until 31 December 2027, with the next last day to cancel on 30 September 2027.
Frequently asked questions
What if the last day falls on a weekend?
Send the notice so that it arrives by the previous working day at the latest. Unlike some procedural deadlines, a contractual notice period does not automatically roll over to the next working day.
How does the .ics file work?
It is a calendar event generated in your browser that you can open in Google Calendar, Outlook or Apple Calendar. It has reminders 30 days, 7 days and 1 day before the deadline.
How are notice periods in months counted?
Calendar months are subtracted keeping the day of the month. When the target month is shorter, its last day is used: 31 May minus 3 months is 28 or 29 February.
