How late payment interest works in Romania
When an invoice is not paid on time, the creditor can claim, on top of the amount owed, either the penalty agreed in the contract or, when there is no such clause, the statutory penalty interest. The calculator counts the days late from the day after the due date up to and including the payment date.
Statutory penalty interest (OG 13/2011)
Government Ordinance 13/2011 sets the statutory penalty interest at the BNR reference rate plus 4 percentage points a year (art. 3(2)). Between professionals, and between professionals and contracting authorities, the margin is 8 percentage points (art. 3(21)). The reference rate is the monetary policy rate set by the National Bank of Romania. The yearly rate is applied pro rata to the days late, on a 365-day year.
For debts between businesses, Law 72/2013 (which implements the EU Late Payment Directive) says interest runs from the day after the due date without a prior notice, and gives the creditor a fixed compensation of at least the RON equivalent of 40 euros for recovery costs.
Contractual penalties
If the parties agreed a penalty (for example 0.1% per day late), that rate applies. It is a penalty clause under the Romanian Civil Code (art. 1538 and following), and a court can reduce it when it is manifestly excessive. Many contracts cap penalties at the amount owed; tick the option if yours does.
The reference rate changes over time. If it changed during the period of delay, split the calculation into periods, one line per rate. This page gives general information and is not legal advice.
Worked example
An invoice of RON 10,000, due on 31 March 2026, is paid on 30 June 2026. That is 91 days late.
| Statutory interest between businesses, reference rate 6.50% | 10,000 × 14.50% × 91 / 365 = RON 361.51 |
|---|---|
| Contractual penalty of 0.1% a day | 10,000 × 0.1% × 91 = RON 910.00 |
Frequently asked questions
From when is late payment interest charged?
From the day after the due date up to and including the payment date. When no due date was agreed, Law 72/2013 sets 30 days from receiving the invoice for business debts. A contract can also give a few grace days, which you can enter in the calculator.
Which reference rate should I use?
The BNR monetary policy rate, published on bnr.ro and in the Official Gazette. The value in the calculator is only a starting point: check the rate in force during the delay and, if it changed, calculate each period separately.
Can I claim both statutory interest and the contract penalty?
Usually not for the same delay: the contract penalty replaces damages, and statutory interest applies when the contract says nothing else. Cases differ, so check the wording of your contract.
Can penalties exceed the invoice amount?
The law sets no general cap on penalties agreed between businesses, but many contracts cap them at the amount owed, and a court can reduce a manifestly excessive penalty. The calculator applies a cap only when you tick the option.
